Welcome to Elbine Services. These Terms & Conditions (“Terms”) apply to all services provided by Elbine Services (“Company”, “we”, “our”, “us”) to any client (“Client”, “you”, “your”). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, you should not use our services.

Introduction

Elbine Services provides digital and professional services including web development, mobile application development, software development, creative design, search engine optimization (SEO), digital marketing, consulting, and related online services. These Terms govern the delivery of all services and define the rights and responsibilities of both parties.

Scope of Services

Services provided by Elbine Services are defined in the project proposal, agreement, or communication shared with the Client. Each project may include planning, design, development, content creation, consultation, marketing strategy, and other deliverables depending on the nature of the service.

All services are tailored to the Client’s needs based on the information and instructions provided by the Client. The Client is responsible for supplying accurate and complete information necessary for project completion.

Elbine Services reserves the right to decline, modify, or discontinue any service based on workload, compliance, or risk considerations.

Project Terms & Deliverables

Work will begin once a project is confirmed and all required materials are received from the Client. Timelines provided by Elbine Services are estimates and may vary based on revisions, content delays, or scope changes. Deliverables will be provided in accordance with the agreed project outline.

Any request outside the agreed scope may require additional fees. Scope expansions, feature additions, or change requests must be documented and approved by both parties before being initiated.

The Client is responsible for reviewing deliverables in a timely manner. Approval or non-response signifies acceptance of the delivered work.

Payment Terms

Unless otherwise stated, all payments for services are due upon completion of the project or according to the schedule specified in the agreement. Payments must be made through approved payment methods only.

The Client agrees to pay for all completed work, including partially completed work if a project is canceled. All fees, invoices, and outstanding balances must be paid in full before final deliverables are handed over.

Chargebacks or payment disputes without attempting direct communication with Elbine Services constitute a breach of these Terms. All disputed payments will be addressed with supporting documentation demonstrating the work completed.

Elbine Services does not offer refunds for digital or professional services once work has begun, as detailed in our Refund Policy.

Client Responsibilities

The Client agrees to:
Provide accurate and complete information for project execution
Respond promptly to communication
Review deliverables within the agreed timeframe
Make timely payments
Ensure they have the rights to all content, materials, and data provided

Delays caused by the Client, including failure to respond or incomplete information, may impact timelines and are not the responsibility of Elbine Services.

Intellectual Property

All original content, designs, code, software, strategies, and deliverables created by Elbine Services remain the property of Elbine Services until full payment is received.

Upon full payment, the Client is granted a license or ownership (as defined in the project agreement) to use the final deliverables.

Elbine Services retains the right to display work in its portfolio, marketing materials, or case studies unless the Client expressly requests confidentiality in writing.

Any use of our work before full payment is strictly prohibited.

Privacy & Data Protection

Elbine Services collects and processes limited client data necessary for communication, invoicing, or service delivery. By engaging our services, the Client consents to the use of such data in accordance with our Privacy Policy.

We do not share, sell, or disclose client information to third parties except where required by law or payment processors.

Confidentiality

Both parties agree to maintain confidentiality of all non-public information shared during the engagement. Confidential information includes project details, business strategies, proprietary content, and communication.

This obligation continues even after the termination of the service relationship.

Revisions & Modifications

Elbine Services offers revisions as defined within the project scope. Revision requests that introduce new requirements, structural changes, or additional work will be treated as out-of-scope modifications and may incur additional fees.

Revisions must be requested within the review window specified in the project agreement.

Limitation of Liability

Elbine Services is not liable for:
Indirect, incidental, or consequential damages
Loss of revenue, data, or business opportunities
Delays caused by third-party providers, hosting services, APIs, or platforms
Outcomes of digital marketing or SEO campaigns, which depend on external algorithms and market factors

The maximum liability for any claim related to our services shall not exceed the amount paid by the Client for the specific project.

Service Limitations

Search engine rankings, marketing performance, ad results, and similar outcomes cannot be guaranteed due to factors beyond our control. While Elbine Services applies industry best practices, specific results cannot be promised.

The Client acknowledges that digital marketing, SEO, and web technologies may evolve, causing changes that impact functionality or performance.

Termination of Services

Either party may terminate a project at any time with written notice. In such cases, the Client must pay for all completed work and outstanding invoices. Elbine Services may suspend or terminate services for non-payment, abusive behavior, or policy violations.

Compliance & Acceptable Use

The Client agrees not to use deliverables for any illegal, harmful, abusive, or unethical purposes. Elbine Services reserves the right to refuse work that violates legal or ethical standards.

Governing Law

These Terms shall be governed by the laws of the jurisdiction in which Elbine Services operates or as defined in the service agreement.

Any disputes shall be addressed first through communication between both parties. If unresolved, disputes may be handled through arbitration or legal proceedings.

Updates to Terms

Elbine Services may update these Terms at any time to reflect business, legal, or technical changes. The latest version will always be available on our website, and continued use of our services indicates acceptance of any updates.
